1. Definitions

  • “Company,” “We,” “Us,” or “Our” refers to Oolness Web Service, its owners, and affiliates.

  • “User,” “You,” or “Client” refers to any person or entity accessing our website or services.

  • “Services” include web development, app development, SaaS solutions, AI development, and custom software provided by Oolness Web Service.

2. Acceptance of Terms

By using our website and services, you confirm that you have read, understood, and agreed to these terms. If you do not agree, please refrain from using our services.

3. Services

  • Oolness Web Service provides digital solutions, including but not limited to website development, AI integration, mobile app development, SaaS platforms, and custom software.

  • The scope, timeline, and deliverables of each project will be clearly defined in a separate contract or proposal.

4. Project Process & Payment

  • All projects require a written agreement, including detailed scope, timeline, and payment terms.

  • Payment is structured as follows:

    • 50% upfront deposit (non-refundable) to initiate the project

    • 40% upon completion of core features

    • 10% upon final delivery and approval

  • Any additional features or modifications outside the initial scope may incur additional charges.

5. Intellectual Property Rights

  • All content, code, graphics, and intellectual property created by Oolness Web Service remain the property of the company until full payment is received.

  • Upon receipt of full payment, ownership of the project files and deliverables is transferred to the client, except for third-party components or open-source libraries.

  • We reserve the right to showcase completed projects in our portfolio and marketing materials unless specified otherwise in the contract.

6. Confidentiality

  • Both parties agree to keep all project-related information, data, and materials confidential.

  • Client information will not be shared or sold to third parties without written consent.

7. Limitations and Disclaimers

  • Oolness Web Service is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the services.

  • We do not guarantee uninterrupted or error-free service, as unforeseen circumstances (e.g., server issues, internet outages) may occur.

  • We are not responsible for third-party software, plugins, or APIs integrated into the project.

8. Termination of Services

  • Either party may terminate the agreement if the other party breaches the terms or fails to comply with project requirements.

  • Upon termination, all outstanding payments become due immediately, and the client will be billed for work completed up to the termination date.

9. Refund Policy

  • The initial 30% deposit is non-refundable.

  • Refunds for remaining payments will only be considered for incomplete or undelivered work, as outlined in the contract.

10. Governing Law

  • These terms and conditions are governed by the laws of Rwanda, and any disputes arising from these terms shall be resolved in the jurisdiction of Kigali, Rwanda.

11. Amendments and Updates

  • Oolness Web Service reserves the right to modify or update these terms at any time without prior notice.

  • Continued use of the services constitutes acceptance of the revised terms.
